The Program Rules

Premium Club

These Program Rules define the conditions and specify the functioning principles of the “Premium Club” Program organised by Vastint Poland Sp. z o.o. In particular, these Rules specify the rights and obligations of the Program Organiser and the persons participating in it. The Rules apply to all construction projects carried out by Vastint Poland Sp. z o.o.

Definitions:

ORGANISER – the Organiser of the Program run on the terms specified in these Rules is Vastint Poland Sp. z o.o. with its registered office in Warsaw at ul. Żwirki i Wigury 16B, 02-092 Warszawa, entered in the Register of Entrepreneurs maintained by the District Court for the Capital City of Warsaw in Warsaw, XIV Business Division of the National Court Register, under entry number KRS: 0000052642, NIP: 5213004622, REGON: 013211712, with the share capital amounting to PLN 266,674,650 paid up in full.

THE PROGRAM OR the „PREMIUM CLUB” PROGRAM – the program run by the Organiser on the terms set out in these Rules.

PARTICIPANT – a natural person, a legal person or an organisational unit without legal personality.

APPLICATION – an application form made available by the Organiser, which, having been filled in by an interested natural person, legal person or organisational unit without legal personality, in accordance with the principles set out in these Program Rules, constitutes an application for admission to the „Premium Club” Program as a Participant.

CONSTRUCTION PROJECT – all construction projects carried out by the Organiser.

REAL PROPERTY – self-contained property (residential or non-residential unit) along with related and additional rights, offered for sale by the Organiser as part of the Construction Project.


§ 1

General provisions

  1. These Program Rules define the principles of the Program, in particular the rights and obligations of the Participant in connection with their participation in the Program, and the benefits and privileges that ensue from participating in the Program. The Program Rules apply only to Program Participants.
  2. The Program is addressed to natural persons, legal persons and organisational units without legal personality that are interested in purchasing a Real Property from among residential and commercial units (including office units) available as part of the Construction Project.
  3. The Program shall run starting from 23 September 2019 for an indefinite period.
  4. The Program is organised within the territory of the Republic of Poland.

§ 2

Rules of participation in the Program

  1. The Program Participant may be:
    1. A natural person who is at least 18 years of age and has full legal capacity, who has completed the Application via the website www.gdyniawaterfront.pl or other websites connected with the Organiser’s Construction Project or in person at the Organiser’s registered office, regional offices or at points of sale of the Real Properties.
    2. A legal person or an organisational unit without legal personality, having statutory legal capacity, with its registered office within the territory of the Republic of Poland, including a legal person and a commercial company without legal personality having its registered office within the territory of the Republic of Poland, being a foreigner within the meaning of the Act on acquisition of real estate by foreigners, who has completed the Application via the website www.gdyniawaterfront.pl or other websites connected with the Organiser’s Construction Project or in person at the Organiser’s registered office, regional offices or at points of sale of the Real Properties.
  2. A person joining the Program may be granted the Participant status after all of the following conditions have been met:
    1. Reading and accepting the Program Rules,
    2. Consent to personal data processing within the scope specified in the Rules and the Application,
    3. Filling in the Application legibly, completely and truthfully, and then signing it,
    4. Sending the Application to the Organiser via the website www.gdyniawaterfront.pl or other websites connected with the Organiser’s Construction Project or signing the Application personally at the Organiser’s registered office, regional offices or at points of sale of the Real Properties, and in the case of the entity referred to in § 2 section 1.3 above, by filling in and sending the Application received by the Organiser,
    5. Payment of the entry fee of PLN 500 (say: five hundred zlotys) via the website www.gdyniawaterfront.pl or other websites of the Organizer’s housing investment projects in the „Premium Club” tab, by bank transfer.
  3. The Organiser reserves the right to verify the Application, and also to authorise representatives of the potential Participant that is not a natural person, to act on their behalf. In particular, the Organiser may request a current copy of the entry in the National Court Register and the original, written power of attorney to represent the given legal person or organisational unit without legal personality.
  4. By completing and submitting the Application, the Participant confirms that they have read the Program Rules and agree to their provisions.
  5. The moment of joining the Program is when the Participant is registered in the IT system by the Organiser after fulfilling all of the above-mentioned conditions.
  6. The Program Participant will receive an e-mail confirming registration, which will be sent to the address provided by the Program Participant.
  7. In the event the Program Participant does not purchase any Real Property, the entry fee shall not be refunded.
  8. The entry fee is paid once and it guarantees participation in the Program, covering all Construction Projects implemented by the Organiser, subject to the provisions of §2 section 18 of the Rules.
  9. Joining the Program is voluntary; however, if the Participant withdraws from further participation in the Program, the entry fee shall not be refunded.
  10. The Program Participant is guaranteed to participate in the Program throughout its duration, subject to the provisions of §2 section 18 of the Rules.
  11. To withdraw from further participation in the Program, the Participant has to send a notification of this intention (notice of termination of participation) to the e-mail address: residential.poland@vastint.eu
  12. The Organiser has the right to reject the Application within 1 month from the submission date in the event it is incomplete, illegible, incorrectly completed, or without the authorised person’s signature.
  13. The Application will be considered incorrectly completed particularly when the prospective Participant agreed to receive information about products/services by electronic communication means listed in the Application, but simultaneously failed to provide consent to receiving advertising and commercial information.  
  14. Rejection of an Application does not oblige the Organiser to inform the natural person, legal person or organisational unit without legal personality that submitted the Application about its rejection or the reasons for such rejection.  
  15. However, in the event of rejecting an Application, the Organiser may inform the natural person, legal person or organisational unit without legal personality, whose Application to the Program has been rejected, about the possibility of submitting a new, correctly completed Application or making necessary additions or amendments in the previously submitted Application.  
  16. If an Application is not accepted, the natural person, legal person or organisational unit without legal personality will not be admitted by the Organiser to the Program; however, the Applications for the Program will be archived and will be stored only for evidence purposes. When further storage becomes utterly pointless, the Organiser will ensure such Applications are destroyed. In such a case, the basis for the personal data processing by the Organiser will be the legitimate interest of the data controller, i.e. Article 6 (1) (f) of the General Data Protection Regulation (GDPR).
  17. Regardless of the provisions of paragraph 12 above, the Organizer also has the right to refuse admission to the Program within 1 month from the date of submitting the Application Declaration. This applies to situations in which the entity submitting the Application Declaration has had its participation in the Program terminated in the past or has lost the status of a Participant
  18. The Organiser has the right to terminate participation in the Program at any time without giving a reason; however, to make such a termination effective, it is necessary for the Organiser to refund the registration fee. At the Organiser’s request, the Participant shall provide the bank account number for refunding the entry fee. If the Participant refuses to provide the bank account number for refunding the entry fee, the Organiser is entitled to refund the entry fee to the bank account from which it was originally paid to the Organiser, and such refund will be considered effective. On the date the amount of the refunded entry fee is credited to one of the bank accounts referred to in the preceding sentences, the participation in the Program expires.


§ 3

Benefits for the Program Participants and Pre-Sales

  1. The Program Participant shall receive:
    1. An invitation to participate, free of charge, in banquet events arranged by the Organiser, related to presentation of the offer. The invitations will be sent electronically to the e-mail address provided in the Application or in a hard copy sent to the postal address of the Program Participant.
    2. The possibility of reserving a Real Property during individual meetings, before the official date of commencing sales of the given Construction Project. The offer will be presented and the Real Estate will be reserved during individual meetings with the Program Participants.
    3. The right to receive information about products and services offered by the Organiser, sent to the Participant’s e-mail or physical address indicated for correspondence.
  2. Dates and times of individual meetings with the Program Participants at the reservation stage will be agreed upon individual enquiries of the Program Participants, depending on availability of free time slots of the Organiser’s representatives.


§ 4

Payments

  1. The Program Participant may pay the entry fee of PLN 500 using the electronic payment system via the website www.gdyniawaterfront.pl, on other websites connected with the Organiser’s Construction Project under the “Premium Club” tab.
  2. Methods of electronic payment of the entry fee:
    • Bank transfer (Pay-by-link)
    • Quick transfers
    • BLIK
    • Visa, MasterCard credit cards
  3. In the event it is necessary to return funds for a transaction made by the Participant with a payment card, the Organiser will make a refund to the bank account assigned to the Participant’s payment card.
  4. The entity providing the online payment service is Auto Pay S.A.
  5. The Program Participant may pay the entry fee in the amount of PLN 500 by bank transfer made by mail or online transfer to the Organiser’s bank account number PL 77 1600 1374 1843 3061 0000 0001.


§ 5

Personal data protection

  1. The Participant’s personal data provided in connection with participation in the Program are processed by Vastint Poland Sp. z o.o., with its registered office in Warsaw at ul. Żwirki i Wigury 16B, 02-092 Warsaw, as the personal data controller pursuant to Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data and repealing Directive 95/46/EC (General Data Protection Regulation) of 27 April 2016 (Official Journal of the European Union No. 119, p. 1) (“GDPR”) for purposes related to participation in the Program and for purposes resulting from the legitimate interests pursued by the Organiser, as well as on the basis of the Participant’s consent – for purposes consistent with the consent granted, including the purposes of:
    1. Providing marketing and promotional information and offers regarding the Organiser’s construction projects, in the form of e-mails and telephone calls, on the basis of the Participant’s consent (legal basis: Article 6 (1) (a) of GDPR);
    2. Direct marketing of products and services (legal basis: Article 6(1)(f) of GDPR);
    3. Taking actions at the Participant’s request before concluding a contract, if such a request has been made by the Participant (legal basis: Article 6(1)(b) of GDPR;
    4. Arranging a meeting with the Participant regarding the services and products offered by the Organiser, which constitutes the Organiser’s legitimate interest (legal basis: Article 6 (1) (f) of GDPR);
    5. Analysis of activities to enable presentation of personalised content, based on the Customer’s consent, if such consent has been given (legal basis: Article 6 (1) (a) of GDPR);
    6. Implementation of the contract concluded with the Organiser (legal basis: Article 6(1)(b) of GDPR);
    7. Any possible establishing, exercising or defending against claims (legal basis: Article 6(1)(f) of GDPR);
    8. Fulfilment of legal obligations incumbent on the Organiser (legal basis: Article 6(1)(c) of GDPR).
  2. The Program Participant consents to receiving advertising and commercial information from the Organiser by means of electronic communication to the e-mail addresses and telephone numbers provided in the registration form. Such consent is a prerequisite for the Participant to join the Program.
  3. The Program Participant consents to receiving marketing information from the Organiser sent via telecommunications endpoints and automated calling systems to the e-mail address and telephone number provided in the registration form. Such consent is a prerequisite for the Participant to join the Program.
  4. The consents referred to in sections 2 – 3 above are granted by ticking the appropriate box in the Application in the process of registration for the Program. The consent may be revoked at any time. To do this, the Participant should contact the Organiser at the e-mail address: residential.poland@vastint.eu. Revoking the consent referred to in sections 2 – 3 above is tantamount to withdrawing from participation in the Program.
  5. In any matters related to personal data protection, the Participant may contact the data controller at e-mail address: info.poland@vastint.eu, the phone number: 22 820 91 51, and by mail sent to: Vastint Poland sp. z o.o., ul. Żwirki i Wigury 16B, 02-092 Warszawa.
  6. Providing personal data by the Program Participant is voluntary, but necessary to participate in the Program. Failure to provide personal data prevents the potential participant from participation in the Program. Withdrawal of the consent to processing of personal data for the purposes of the Program is tantamount to withdrawing from participation in the Program.
  7. The Participant has the right to demand from the Organiser: access to the Participant’s personal data, rectification or deletion of the data, or limitation of the data processing.
  8. The Participant has the right to withdraw their consent for personal data processing at any time, which shall have no effect on the compliance of the processing which took place on the basis of the consent before it was withdrawn.
  9. The Participant’s personal data will be stored:
    1. in order to conduct marketing activities with the use of e-mail address and telephone number, as well as to process data and analyse activity, which will make it possible to present personalised content – until the consent is withdrawn, at the latest until sales of the Real Properties are finished,
    2. in order to take actions at the Participant’s request before concluding the contract and arrange a meeting with the Participant – for the time of carrying out these actions,
    3. in order to implement a concluded contract and in connection with any pursuit of claims – no longer than necessary, until expiry of the relevant limitation period for claims, provided for in the Civil Code, i.e. up to 6 years,
    4. in connection with the need to fulfil the data controller’s obligations imposed by law – for the time provided for in the relevant regulations.
  10. Should the Participant find that the processing of their personal data violates the provisions of law, they shall have the right to file a complaint with the President of the Personal Data Protection Office.
  11. The Participant’s personal data may be transferred to entities processing personal data on behalf of the data controller, i.a. graphic design studios, IT service providers – where such entities process data on the basis of a personal data entrustment agreement and only in accordance with the data controller’s instructions. Personal data may also be processed by persons authorised in this respect, such as the Organiser’s employees and associates, and transferred to official bodies authorised on the basis of separate regulations for the purposes of proceedings conducted by them, Poczta Polska S.A., courier companies and entities being part of the Organiser’s corporate group – Interogo Holding AG.
  12. Personal data may also be transferred to certain subcontractors of IT system providers located in countries outside the European Economic Area, for which the European Commission has not confirmed an adequate level of personal data protection. If personal data are transferred outside the EEA, the Organiser will put in place appropriate safeguards to ensure that such transfer is carried out in accordance with applicable data protection laws.
  13. The Participant’s personal data will be processed in the form of analytical, sales and marketing profiling, in order to adapt the Organiser’s materials to the Participant’s needs and interests and to make measurements that will allow the Organiser to improve the services provided. Binding decisions are not automated.


§ 6

Termination of the Program and loss of the Participant status 

  1. A person may lose the Participant status if they do not comply with these Program Rules or if they provided false data in the Application, or in case of terminating the participation by the Organiser in accordance with §2 section 17 hereof.   
  2. The Participant status may be lost in particular when:  
    1. the benefits stipulated for the Program Participants are used or attempted to be used by other persons not being Program Participants;
    2. the Organiser becomes aware that the person who represented the Participant not being a natural person at the time of joining the Program was not properly authorised. In the above situation, the Organiser may, at its option, deprive the Participant of the status, or contact the Participant in order to confirm whether, despite the circumstances, they wish to participate in the Program. If they wish to remain in the Program, the Organiser may ask the Participant to provide personal data of the person authorised to represent the Participant for the purposes of participation in the Program, as well as proof of authorisation (e.g. copy of the power of attorney, a copy of the entry in the National Court Register).
  3. The Participant may withdraw from participation in the Program at any time without incurring any associated costs. The withdrawal can be effected by sending a notice of termination to the e-mail address: residential.poland@vastint.eu
  4. Upon delivery of the Participant’s statement referred to in section 3 above to the Organiser, the Organiser shall cease to perform activities under the Program in relation to the Participant. However, the Organiser reserves the right to store the Participant’s personal data for evidence purposes. In such a case, the basis for the personal data processing by the Organiser will be the legitimate interest of the data controller, i.e. Article 6 (1) (f) of the General Data Protection Regulation (GDPR).
  5. The Organiser reserves the right to suspend or terminate the Program at any time, with prior notice, which will be given at least 14 days before the planned end of the Program.
  6. In the event of suspension or termination of the Program referred to in section 5 above, the Organiser undertakes to publish information about such suspension at www.gdyniawaterfront.pl.


§ 7

Liability

  1. The Organiser shall not be liable for any consequences of providing any incorrect or untrue data in the Application by the Participant. Each Participant, in order to be able to use the benefits described in §3 hereof, is obliged to update their data whenever they change, by sending their current data to the e-mail address: residential.poland@vastint.eu. The Participant is fully responsible for providing any information that is non-compliant with the actual state.
  2. The Organiser also shall not be responsible for non-performance or improper performance of obligations hereunder in a situation where this is caused by force majeure events or when it occurred for reasons attributable to other entities that are beyond the Organiser’s control.
  3. If there is an exceptional situation that is beyond the Organiser’s control, which significantly hinders or prevents the Organiser from fulfilling their obligations toward the Participant hereunder, the Organiser’s obligations will be suspended for the duration of that situation. Once the reason that prevents the Organiser from fulfilling their obligations is established, the Organiser will make every effort to reconstruct or guarantee the rights that would have been granted if the situation had not occurred.


§ 8

Final Provisions

  1. The Organiser reserves the right to unilaterally make changes to these Rules at any time, without providing a reason.
  2. Any changes to these Rules will be notified to the e-mail addresses provided by Participants and such change will also be announced at www.gdyniawaterfront.pl or other websites connected with the Organiser’s Construction Project.
  3. In the event of changes to the Rules, the Participant is entitled to withdraw from participation in the Program by sending an e-mail within 14 days from the date of notifying the Participant about the changes to the Rules.
  4. Any changes to these Rules shall come into force after 14 days of publication.
  5. Declarations of intent require documentary form to be valid.
  6. These Program Rules are available at the Organiser’s registered office, regional offices and points of sale, as well as on the website: www.gdyniawaterfront.pl or other websites connected with the Organiser’s Construction Project.
  7. The Program Rules are effective as from 16 September 2019.
  8. Any matters not governed in these Rules shall be governed by applicable regulations of the Polish law, in particular the provisions of the Civil Code.
